Terms and Conditions
By accessing and using the International Space Education and Research Guild (ISERG) platform, users agree to be bound by these terms and conditions and all governing state and federal laws. If a participant does not agree with any part of these terms, they are prohibited from using the platform and participating in research projects.
Registration and Participation
- Members must provide accurate, complete, and up-to-date information when registering on the platform.
- ISERG reserves the right to adjust participant usernames or display identifiers if deemed necessary for professionalism.
- Registered participants may opt into communication channels, mailing lists, or project teams, and may opt out at their discretion.
License, Hardware, and Research Content
- Users retain ownership or proper licensing of their original contributions, including research data, physical hardware designs, mechanical apparatus, and documentation.
- By contributing to a project, participants grant ISERG a license to utilize, review, and display research outputs for team assembly, project management, and conference publication support.
- Users may not modify, copy, reverse engineer, or commercially exploit platform materials or physical research assets without explicit authorization.
Export Control and Dual-Use Regulations
- Participants acknowledge that platform activities, including the sharing of technical data, mechanical designs, software, experimental logs, hardware blueprints, and physical apparatus documentation, may be subject to national and international export control laws, including the U.S. International Traffic in Arms Regulations (ITAR), the U.S. Export Administration Regulations (EAR), European Union Dual-Use Regulations, and equivalent local statutory frameworks.
- Participants agree that they shall not upload, submit, transmit, or disclose any data, technology, or physical assets controlled under applicable export control lists to the platform or to other international participants without first obtaining all required export licenses, government approvals, or explicit written authorization from ISERG.
- Information exchanged on the platform is intended to qualify as published fundamental research or open academic information where applicable. However, participants remain individually responsible for classifying their contributions and verifying that disclosures do not violate applicable dual-use regulations or trade sanctions administered by official authorities (including OFAC, EU Sanctions, or UN Security Council restrictions).
- By participating in ISERG research workflows, each participant represents and warrants that they are not a restricted party, sanctioned entity, or national of a restricted jurisdiction under applicable U.S. or international sanction lists, and that they will not use platform resources for unauthorized military, defense, or dual-use end-uses.
Governing Law, Dispute Resolution, and Binding Arbitration
- These terms, your access to and use of the platform, and any dispute or claim arising out of or in connection with ISERG operations shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky, USA, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
- Prior to initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any claim, controversy, or dispute arising out of or relating to these terms or platform participation through informal negotiation for a period of at least thirty (30) days following written notice of the dispute.
- If a dispute is not resolved through informal negotiation within thirty (30) days, the dispute shall be finally settled under the Commercial Arbitration Rules of the American Arbitration Association (AAA) or International Centre for Dispute Resolution (ICDR) by one arbitrator appointed in accordance with said rules. The seat and venue of arbitration shall be Lexington, Kentucky, USA, or held remotely upon mutual agreement. The language of arbitration shall be English.
- Judgment on any arbitral award rendered may be entered and enforced in any court of competent jurisdiction worldwide under the United Nations Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the New York Convention). To the extent any judicial proceeding is permitted under these terms, participants consent to the exclusive jurisdiction and venue of the state or federal courts located in Fayette County, Commonwealth of Kentucky, USA.
- To the extent permitted by law, all claims must be brought in the participant's individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Participants explicitly waive any right to a trial by jury.
Disclaimers and Limitations
- All platform resources, research tools, and documentation are provided on an "as is" basis without express or implied warranties.
- ISERG makes no warranties regarding the accuracy, reliability, or outcomes of research methods, physical apparatus testing, or conference publication submissions.
- ISERG and its Managing Members shall not be liable for any damages, including loss of data, hardware damage, project interruption, or financial loss arising from platform participation.
- These terms, the Privacy Policy, and the Code of Conduct may be updated at any time with a notice of 30 calendar days to affected persons via email.
